(MANAGEMENT, EXECUTIVE OPERATIONS & GOVERNANCE AGREEMENT)

ഈ കൺസൾട്ടൻസി കരാർ 2026 ________________ മാസം _____ -ാം തീയതി താഴെ പറയുന്ന കക്ഷികൾ തമ്മിൽ നിർവ്വഹിക്കപ്പെടുന്നു:

1. വെൽനെക്സ് ബിസിനസ് മാനേജ്മെന്റ് & ഓപ്പറേഷൻസ് FZE LLC (VELNEX BUSINESS MANAGEMENT & OPERATIONS FZE LLC), ഐക്യ അറബ് എമിറേറ്റിലെ അജ്മാൻ എമിറേറ്റ് നിയമപ്രകാരം രജിസ്റ്റർ ചെയ്തിട്ടുള്ള ഫ്രീ സോൺ സ്ഥാപനം, രജിസ്റ്റേർഡ് വിലാസം: അജ്മാൻ, യു.എ.ഇ. ഇതിനെ പ്രതിനിധീകരിച്ച് മാനേജരും ഫൗണ്ടറുമായ ശ്രീ. വേൽഹരി ശങ്കരൻ (ഇതിനുശേഷം "കൺസൾട്ടന്റ്" അല്ലെങ്കിൽ "Velnex" എന്ന് പരാമർശിക്കപ്പെടുന്നു);

2. മെസ്സേഴ്സ് ഗ്രീൻ സമ്മർ വെഞ്ചേഴ്സ് എൽ.എൽ.പി (M/S GREEN SUMMER VENTURES LLP), ഇന്ത്യയിലെ 2008-ലെ ലിമിറ്റഡ് ലയബിലിറ്റി പാർട്ണർഷിപ്പ് ആക്ട് പ്രകാരം രജിസ്റ്റർ ചെയ്തിട്ടുള്ള സ്ഥാപനം, രജിസ്റ്റേർഡ് ഓഫീസ് വിലാസം: വാർഡ് 15, ഞാറക്കൽ ഗ്രാമപഞ്ചായത്ത്, വൈപ്പിൻ, എറണാകുളം, കേരളം, ഇന്ത്യ - 682505. ഇതിനെ പ്രതിനിധീകരിച്ച് ഡെസിഗ്നേറ്റഡ് പാർട്ണറായ ശ്രീമതി. ബിന്ദു കെ. ബി. (ഇതിനുശേഷം "ക്ലയന്റ്" അല്ലെങ്കിൽ "Green Summer" എന്ന് പരാമർശിക്കപ്പെടുന്നു).

പശ്ചാത്തലം (RECITALS)

തദ്ഫലമായി കക്ഷികൾ താഴെ പറയുന്ന കാര്യങ്ങളിൽ പരസ്പരം സമ്മതിക്കുന്നു:

1. എക്സിക്യൂട്ടീവ് മാനേജ്മെന്റ് ആൻഡ് ഓപ്പറേഷൻസ് അധികാരം

ക്ലയന്റ്, Velnex-നെ സ്ഥാപനത്തിന്റെ എക്സിക്യൂട്ടീവ് ഓപ്പറേഷൻസ് & മാനേജ്മെന്റ് പാർട്ണർ (Executive Operating Partner) ആയി ചുമതലപ്പെടുത്തുന്നു. ഗ്രീൻ സമ്മർ വെഞ്ചേഴ്സ് എൽ.എൽ.പി-യുടെ പ്രവർത്തനങ്ങൾ, ഭരണപരമായ കാര്യങ്ങൾ, സ്ട്രാറ്റജി എന്നിവ നിയന്ത്രിക്കാനും വഴികാട്ടാനും ആവശ്യമായ മാനേജ്മെന്റ് അധികാരം Velnex-ന് ഉണ്ടായിരിക്കുന്നതാണ്:

  • 1.1 നിയമപരമായ നേതൃത്വം: പഞ്ചായത്ത് ട്രേഡ് ലൈസൻസ്, ഗവൺമെന്റ് പെറ്റിഷനുകൾ, മറ്റ് നിയമപരമായ അനുമതികൾ എന്നിവയ്ക്കുള്ള തന്ത്രങ്ങൾ രൂപീകരിക്കാനും നടപ്പിലാക്കാനുമുള്ള എക്സിക്യൂട്ടീവ് അധികാരം.
  • 1.2 ബിസിനസ് നിയന്ത്രണവും SOP നടപ്പിലാക്കലും: സ്ഥാപനത്തിലെ അഡ്മിനിസ്ട്രേറ്റീവ് കാര്യങ്ങൾ, സാമ്പത്തിക നിയന്ത്രണങ്ങൾ, പ്രവർത്തന മാർഗ്ഗനിർദ്ദേശങ്ങൾ (SOP) എന്നിവ നിശ്ചയിച്ച് നടപ്പിലാക്കൽ.
  • 1.3 സപ്ലൈ ചെയിൻ മേൽനോട്ടം: ഉൽപ്പന്ന സംഭരണം, വിതരണം, വെയർഹൗസ് ഓപ്പറേഷൻസ് എന്നിവയുടെ എക്സിക്യൂട്ടീവ് മേൽനോട്ടം വഹിക്കൽ.
  • 1.4 വെണ്ടർ & കോൺട്രാക്ടർ മാനേജ്മെന്റ്: ബിസിനസ്സ് വളർച്ചയ്ക്ക് ആവശ്യമായ പ്രൊഫഷണലുകൾ, കോൺട്രാക്ടർമാർ, വെണ്ടർമാർ എന്നിവരെ തിരഞ്ഞെടുക്കാനും അവരുടെ പ്രവർത്തനങ്ങളെ നിയന്ത്രിക്കാനുമുള്ള അധികാരം.

2. സ്വതന്ത്ര കൺസൾട്ടന്റ് പദവി (INDEPENDENT CONTRACTOR STATUS)

  • 2.1 Velnex ഈ കരാറിലെ എല്ലാ സേവനങ്ങളും ഒരു ബാഹ്യ കോർപ്പറേറ്റ് കൺസൾട്ടന്റ് എന്ന നിലയിലാണ് നിർവ്വഹിക്കുന്നത്. ഈ കരാർ വഴി Velnex-ഉം ക്ലയന്റും തമ്മിൽ തൊഴിലുടമ-തൊഴിലാളി ബന്ധമോ പാർട്ണർഷിപ്പോ രൂപപ്പെടുന്നില്ല.
  • 2.2 നൽകുന്ന സേവനങ്ങളുടെ തന്ത്രപരമായ രീതികളും സാങ്കേതിക സമീപനങ്ങളും തീരുമാനിക്കാനുള്ള പൂർണ്ണ അവകാശം Velnex-ന് ആയിരിക്കും.
  • 2.3 മാനേജ്മെന്റ് ആൻഡ് ഓപ്പറേഷൻസ് അധികാരം: Velnex ഒരു സ്വതന്ത്ര കോർപ്പറേറ്റ് സ്ഥാപനമായി പ്രവർത്തിക്കുമ്പോഴും, തീരുമാനിക്കപ്പെട്ട ബിസിനസ്സ് ലക്ഷ്യങ്ങൾക്കനുസരിച്ച് ദൈനംദിന തന്ത്രപരമായ മാനേജ്മെന്റ്, വെണ്ടർ ഏകോപനം, അഡ്മിനിസ്ട്രേറ്റീവ് നിർവ്വഹണം എന്നിവ നയിക്കുന്നതിനുള്ള പ്രവർത്തന തീരുമാനമെടുക്കാനുള്ള അധികാരം ഗ്രീൻ സമ്മർ Velnex-ന് കൈമാറുന്നു.

3. കൺസൾട്ടൻസി ഫീസും പേയ്മെന്റ് രീതിയും (FINANCIAL TERMS)

  • 3.1 കൺസൾട്ടൻസി ഫീസ്: നൽകുന്ന സേവനങ്ങൾക്കായി ക്ലയന്റ് Velnex-ന് പ്രതിമാസം ₹15,000 (ഇന്ത്യൻ രൂപ) അല്ലെങ്കിൽ അതിന് തുല്യമായ AED കൺസൾട്ടൻസി റീട്ടെയ്നർ ഫീസായി നൽകാൻ സമ്മതിക്കുന്നു.
  • 3.2 സാവകാശ പേയ്മെന്റ് രീതി (Deferred Payment): ക്ലയന്റിന്റെ ഇപ്പോഴത്തെ പുനഃസംഘടനാ ഘട്ടവും സാമ്പത്തിക കാര്യങ്ങളും പരിഗണിച്ച്, സേവന നിരക്കുകൾ കരാർ തീയതി മുതൽ കണക്കാക്കുമെങ്കിലും, ക്ലയന്റിന് തദ്ദേശസ്വയംഭരണ സ്ഥാപനങ്ങളിൽ നിന്നുള്ള ഡി&ഓ ട്രേഡ് ലൈസൻസ് (D&O License) ലഭിച്ച് കൃത്യമായ വരുമാനം ഉണ്ടാകുന്നത് വരെ തുക നൽകുന്നത് നീട്ടി വെക്കാവുന്നതാണ് (Deferred Payment).
  • 3.3 ചെലവുകൾ: ക്ലയന്റിന് വേണ്ടി Velnex നടത്തുന്ന മറ്റ് മുൻകൂട്ടി അംഗീകരിച്ച ചെലവുകൾ (ഗവൺമെന്റ് ഫീസുകൾ, നോട്ടറി ഫീസുകൾ, യാത്രാ ചെലവുകൾ) ക്ലയന്റ് യഥാർത്ഥ ബിൽ തുകയനുസരിച്ച് തിരികെ നൽകേണ്ടതാണ്.

4. ബാദ്ധ്യതകളുടെ വേർതിരിവ് (LIMITATION OF LIABILITY)

  • 4.1 ഭൗതിക ബാദ്ധ്യതകൾ: ക്ലയന്റിന്റെ നിലവിലുള്ള വസ്തു സംബന്ധമായ തർക്കങ്ങൾ, കുടുംബ സിവിൽ കേസുകൾ, പഞ്ചായത്ത് നികുതികൾ, പഴയ കടങ്ങൾ അല്ലെങ്കിൽ പ്രാദേശിക ബാദ്ധ്യതകൾ എന്നിവയുടെ പൂർണ്ണമായ ഉത്തരവാദിത്തം Green Summer Ventures LLP-ക്കും അതിന്റെ ഡെസിഗ്നേറ്റഡ് പാർട്ണർമാർക്കും മാത്രമായിരിക്കും.
  • 4.2 കൺസൾട്ടന്റിന്റെ സംരക്ഷണം: Velnex ഒരു ബാഹ്യ ഉപദേശക സ്ഥാപനം മാത്രമാണ്. Velnex-നോ അതിന്റെ ഓഫീസർമാർക്കോ യു.എ.ഇ-യിലുള്ള സ്വത്തുക്കൾക്കോ ക്ലയന്റിന്റെ സാമ്പത്തിക ബാദ്ധ്യതകളിലോ പ്രാദേശിക നിയമ തർക്കങ്ങളിലോ യാതൊരു നിയമപരമായ ഉത്തരവാദിത്തവും ഉണ്ടായിരിക്കുന്നതല്ല.

5. രഹസ്യസ്വഭാവം (CONFIDENTIALITY)

ഈ കരാറിന്റെ കാലാവധിയിൽ കൈമാറ്റം ചെയ്യപ്പെടുന്ന ബിസിനസ് വിവരങ്ങൾ, കുടുംബ സാമ്പത്തിക വിവരങ്ങൾ, പ്രവർത്തന തന്ത്രങ്ങൾ എന്നിവ ഇരു കക്ഷികളും തികച്ചും രഹസ്യമായി സൂക്ഷിക്കേണ്ടതാണ്.

6. കാലാവധിയും റദ്ദാക്കലും (TERM & TERMINATION)

  • 6.1 കാലാവധി: ഈ കരാറിന് 12 മാസത്തെ (ഒരു വർഷം) പ്രാബല്യമുണ്ടായിരിക്കും. ഇരു കക്ഷികളും എഴുതി തയ്യാറാക്കി റദ്ദാക്കിയില്ലെങ്കിൽ ഇത് തുടർന്നുള്ള വർഷങ്ങളിലേക്ക് സ്വയം പുതുക്കപ്പെടുന്നതാണ്.
  • 6.2 റദ്ദാക്കൽ: ഏതൊരു കക്ഷിക്കും 30 ദിവസത്തെ മുൻകൂർ നോട്ടീസ് നൽകി ഈ കരാർ റദ്ദാക്കാവുന്നതാണ്.

7. നിയമവും തർക്കപരിഹാരവും (GOVERNING LAW & LANGUAGE)

  • 7.1 ഭാഷയും തർജ്ജമയും: ഈ കരാർ ഇംഗ്ലീഷ്, മലയാളം എന്നീ ഇരു ഭാഷകളിലും തയ്യാറാക്കി ഒപ്പുവെച്ചിട്ടുള്ളതാണ്. ഏതെങ്കിലും തരത്തിലുള്ള വ്യാഖ്യാന വ്യത്യാസങ്ങളോ വൈരുദ്ധ്യങ്ങളോ ഉണ്ടാകുന്ന പക്ഷം, ഇംഗ്ലീഷ് പതിപ്പിലെ വ്യവസ്ഥകൾക്ക് പൂർണ്ണ മുൻഗണന ഉണ്ടായിരിക്കുന്നതാണ്.
  • 7.2 ഈ കരാറുമായി ബന്ധപ്പെട്ട തർക്കങ്ങൾ പരസ്പര ചർച്ചകളിലൂടെ പരിഹരിക്കേണ്ടതാണ്.

മേൽപ്പറഞ്ഞ വ്യവസ്ഥകൾ പൂർണ്ണമായി വായിച്ചു മനസ്സിലാക്കി കക്ഷികൾ അവരുടെ പൂർണ്ണ സമ്മതത്തോടെ താഴെ ഒപ്പുവെക്കുന്നു.

MANAGEMENT, EXECUTIVE OPERATIONS & GOVERNANCE AGREEMENT

This Consultancy Agreement (the "Agreement") is made and entered into this _____ day of ________________, 2026 (the "Effective Date"), by and between:

1. VELNEX BUSINESS MANAGEMENT & OPERATIONS FZE LLC, a Free Zone entity registered under the laws of the Ajman Emirate, United Arab Emirates, having its registered address at: Amber Gem Tower 26th Floor, Ajman, United Arab Emirates, represented herein by its Manager and Founder, Mr. Velhari Sankaran (hereinafter referred to as the "Consultant" or "Velnex");

AND

2. M/S GREEN SUMMER VENTURES LLP, a Limited Liability Partnership registered under the Limited Liability Partnership Act, 2008 of India, having its registered office address at: 1st Floor, 39/2475-B1, Suite M72, LR Towers, SJRRA 104, South Janatha Road, Palarivattom, Kochi, Ernakulam, Kerala - 682025, represented herein by its Designated Partner, Mrs. Bindu K. B. (hereinafter referred to as the "Client" or "Green Summer").

*(The Consultant and the Client shall individually be referred to as a "Party" and collectively as the "Parties").*

RECITALS

NOW, THEREFORE, THE PARTIES HEREBY AGREE AS FOLLOWS:

1. SCOPE OF EXECUTIVE MANAGEMENT & OPERATIONAL AUTHORITY

The Client formally appoints Velnex as its Executive Operations & Management Partner. Velnex is granted the absolute authority and mandate to direct, coordinate, and supervise the operational, financial, administrative, and strategic functions of Green Summer Ventures LLP, which includes:

  • 1.1 Regulatory & Statutory Leadership: Directing legal, municipal, and licensing strategies; drafting and submitting petitions; and representing operational interests before local self-government institutions (Grama Panchayat) and statutory bodies.
  • 1.2 Executive Governance & SOP Enforcement: Establishing operational frameworks, financial controls, bookkeeping standards, and binding Standard Operating Procedures (SOPs) across all business units.
  • 1.3 Supply Chain & Logistics Control: Overseeing procurement structures, vendor appointments, distribution networks, and daily warehouse logistics models.
  • 1.4 Contractor & Vendor Delegation: Selecting, appointing, supervising, and managing third-party specialists, contractors, legal counsel, and technology vendors required to execute business objectives.
  • 1.5 Virtual CFO & Financial Strategy: Acting as a Virtual Chief Financial Officer (CFO) to oversee financial planning, manage cash flow, optimize financial processes, and ensure the sustainable financial health of the business.
  • 1.6 Business Transformation & Strategic Consulting: Guiding organizational restructuring, scaling operations, and implementing long-term business transformation strategies to improve overall efficiency.
  • 1.7 Fund Raising & Pre-Investment Appraisal: Assisting in preparing the business for prospective investors, mediating corporate deals, and facilitating debt or equity fundraising when required.
  • 1.8 Banking & Financial Operations (Treasury): Full executive authority over daily treasury management, working capital optimization, budget formulation, expense approvals, and coordinating financial audits.
  • 1.9 Human Resources & Personnel Management: Absolute authority to recruit, train, appraise, restructure, and terminate employees. This includes defining organizational hierarchies, payroll structures, and internal HR policies.
  • 1.10 Marketing, Branding & Digital Strategy: Complete oversight and decision-making power regarding brand positioning, public relations, advertising campaigns, customer acquisition strategies, and digital/social media presence.
  • 1.11 IT Infrastructure & Technology Integration: Authority to select, implement, and manage all digital tools, enterprise software (e.g., ERP, CRM), code projects, and cybersecurity measures required to modernize operations.
  • 1.12 Intellectual Property (IP) & Asset Management: Overseeing the registration and protection of trademarks, copyrights, and brand assets, as well as managing the optimal utilization and maintenance of the company’s physical assets.
  • 1.13 Crisis Management & Risk Mitigation: Formulating and executing rapid-response strategies to manage operational risks, market volatility, internal disputes, and unforeseen business disruptions.

2. INDEPENDENT CONTRACTOR STATUS

  • 2.1 Velnex performs all services under this Agreement strictly as an external corporate consultant. This Agreement does not create an employer-employee relationship or a partnership between Velnex and the Client.
  • 2.2 Velnex reserves the full right to determine the strategic methods and technical approaches used to deliver the services.
  • 2.3 Management & Operational Authority: While Velnex operates as an independent corporate entity, Green Summer delegates operational decision-making authority to Velnex to direct day-to-day strategic management, vendor coordination, and administrative execution in accordance with agreed business goals.

3. FINANCIAL TERMS & PERFORMANCE-BASED COMPENSATION

  • 3.1 Performance-Based Model: Acknowledging the Client’s current financial constraints and restructuring phase, Velnex agrees to waive the standard fixed monthly retainer fee. In exchange for the comprehensive executive management services provided, compensation shall be strictly performance and revenue-based.
  • 3.2 Revenue Share: Velnex shall be entitled to a revenue share of [Insert Percentage, e.g., 5%] of the gross monthly revenue generated by Green Summer Ventures LLP. Payments shall commence immediately upon the Client initiating commercial sales or operations and shall be cleared by the 5th of every subsequent month.
  • 3.3 Success Fees & Milestones (Optional/If Applicable): In addition to the revenue share, Velnex shall be entitled to a success fee for achieving major strategic milestones, such as securing external funding ([Insert %] of total funds raised) or successfully acquiring the D&O Trade License (₹ [Insert Amount]).
  • 3.4 Expenses: Any out-of-pocket expenses incurred by Velnex on behalf of the Client (including but not limited to government fees, notary fees, software subscriptions, and travel expenses) shall be reimbursed by the Client based on actual bill amounts.

4. LIMITATION OF LIABILITY

  • 4.1 Material Liabilities: Full responsibility for any existing property disputes, family civil cases, Panchayat taxes, old debts, or local liabilities of the Client shall rest solely with Green Summer Ventures LLP and its Designated Partners.
  • 4.2 Protection of Consultant: Velnex acts solely as an external advisory and management firm. Neither Velnex, its officers, nor its assets in the UAE shall bear any legal or financial liability for the Client's financial obligations or local legal disputes.

5. CONFIDENTIALITY

Both Parties agree to maintain strict confidentiality regarding all business information, financial data, intellectual property, and operational strategies exchanged during the term of this Agreement.

6. TERM & TERMINATION

  • 6.1 Term: This Agreement shall remain in effect for a period of 12 months (one year). Unless terminated in writing by either Party, it shall automatically renew for subsequent yearly periods.
  • 6.2 Termination: Either Party may terminate this Agreement by providing 30 days' prior written notice.

7. GOVERNING LAW & DISPUTE RESOLUTION

  • 7.1 Any disputes arising out of or in connection with this Agreement shall be resolved primarily through mutual discussions and good-faith negotiations.
  • 7.2 This Agreement and any disputes arising from it shall be governed by the applicable laws relevant to the jurisdictions of the Parties.
